These Terms of Service govern your use of the website operated by Win Merchant Services Inc ("the Secretariat," "we," "us"), 9237 Wakefield Ave, Apt 1, Panorama City, CA 91402, United States, and the general conditions of the administrative services we provide to membership organizations. By accessing this website, you agree to these terms.

1. Nature of This Website

This website is provided for general informational purposes — describing our benches, services, and how to reach the secretariat. It does not constitute an offer of services, a management agreement, or professional advice for any specific organization. An engagement is formed only by a signed secretariat or administrative services agreement.

2. Services

The secretariat provides administrative services to membership organizations — roster maintenance, dues administration, meeting minutes, election administration, filings, and member communications — pursuant to the organization's own charter, bylaws, and engagement terms.

2.1 Administrative Role

The secretariat administers; the organization governs. Policy, bylaws, elections, and substantive decisions belong to the body and its authorized officers. The secretariat executes the body's instructions and maintains its records — it does not set policy or make governance decisions.

2.2 Engagement Terms

Services are provided under the scope, fees, and responsibilities of the signed engagement. In the event of a conflict between these Terms and the engagement, the engagement controls.

2.3 Member Records

Member rosters, dues records, and internal documents remain the property of the engaging organization. The secretariat holds and processes them solely to perform the engaged services, per the organization's instructions and applicable law.

3. Fees

Fees for secretariat services are stated in the engagement — per-member, flat, or retainer rates as applicable. Invoices are payable per the engagement terms. The secretariat may suspend non-urgent work on accounts materially past due upon written notice.

4. Intellectual Property

All content on this website — including text, graphics, layout, and design — is the property of Win Merchant Services Inc or its licensors and is protected by copyright. You may view and print pages for personal, non-commercial use. No other reproduction or distribution is permitted without written consent.

5. Acceptable Use of This Website

You agree not to: (a) use the website for any unlawful purpose; (b) submit false or misleading intake motions or organizational information; (c) attempt to gain unauthorized access to member records or systems; (d) interfere with the operation of the website; or (e) misrepresent your authority within any organization.

This website is provided "as is" and "as available" without warranties of any kind, express or implied. Information on this site is general in nature and does not constitute legal, tax, or governance advice for your organization.

7. Limitation of Liability

To the maximum extent permitted by law, the secretariat's aggregate liability arising from or related to this website shall not exceed one hundred dollars. Liability for services is governed by the applicable engagement. In no event shall the secretariat be liable for indirect, incidental, consequential, special, or punitive damages arising from use of this website.

8. Indemnification

You agree to indemnify and hold harmless Win Merchant Services Inc from claims, losses, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of this website, your provision of inaccurate organizational or member information, or your misrepresentation of authority.

This website may contain links to third-party websites for convenience. The secretariat does not endorse and is not responsible for the content, products, or practices of any third-party site.

10. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute arising from these Terms or use of this website shall be resolved in the state or federal courts located in Los Angeles County, California, and the parties consent to their jurisdiction. Engagements may specify alternative procedures, which control for disputes under them.

11. Severability and Waiver

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Failure to enforce any right or provision is not a waiver of that right or provision.

12. Changes to These Terms

We may revise these Terms from time to time. The current version will be posted on this page with its effective date. Continued use of the website following a revision constitutes acceptance of the revised Terms.
